Terms of Use

1. Acceptance and about us

WealthStacker ("the Platform") is operated by Search Property Pty Ltd (ABN 50 638 601 582), of Suite 4.01, Level 4, 4 Drake Avenue, Macquarie Park NSW 2113 ("we", "us" or "our").

These Terms of Use govern your access to and use of the Platform. By creating an account or otherwise using the Platform, you agree to these terms. If you do not agree, do not use the Platform. If you use the Platform on behalf of an organisation, you confirm you are authorised to bind that organisation to these terms.

2. Definitions

• Platform means the WealthStacker website and web application and all related tools and content.
• Organisation means a workspace (such as a buyer's agency or broking firm) within which members collaborate.
• Content means any data, text or material you enter or generate using the Platform.
• Outputs means estimates, projections, analyses and AI assistant responses produced by the Platform.

3. Eligibility and accounts

• You must be at least 18 years old to use the Platform.
• You must provide accurate account information and keep it up to date.
• You are responsible for keeping your login credentials secure and for all activity under your account. Notify us promptly of any unauthorised use.

4. Licence to use the Platform

Subject to these terms, we grant you a personal, non-exclusive, non-transferable and revocable licence to access and use the Platform for your own property planning and portfolio management. This licence does not transfer any ownership of the Platform to you.

5. Organisations, teams and shared data

The Platform supports organisations with multiple members and different roles (Owner, Admin and Member). Within an organisation, administrators may invite members and share records, including properties and their financial details. Your ability to view, create or edit records depends on your role and what has been shared with you. If you accept an invitation to an organisation, you agree that records shared with you are handled within that organisation's workspace. You are responsible for the data you share with others.

6. Acceptable use

You must not:

• Use the Platform for any unlawful, misleading or fraudulent purpose.
• Copy, modify, reverse engineer, scrape or attempt to extract the source code of the Platform, except to the extent permitted by law.
• Introduce malicious code, attempt to gain unauthorised access, or interfere with the Platform's operation or security.
• Upload content you do not have the right to use, or that infringes the rights of others.
• Resell or commercially exploit the Platform without our written consent.

7. Not financial, credit, tax or legal advice

We do not consider your personal objectives, financial situation or needs. Before making any financial, borrowing, investment or property decision, you should obtain advice from an appropriately licensed or qualified professional (such as a licensed mortgage broker, financial adviser, accountant or lawyer). Any decision you make based on the Platform is your own responsibility.

8. The AI assistant and its outputs

• The AI assistant generates responses using large language models and may produce information that is incomplete, out of date or incorrect. We do not warrant the accuracy or completeness of AI Outputs.
• AI Outputs are general information only and are not advice. Do not rely on them for financial, borrowing, investment, tax or legal decisions (see section 7).
• Similar queries may produce similar responses for different users; AI Outputs are not guaranteed to be unique.
• Your queries are processed by third-party AI providers as described in our Privacy Policy.

9. Third-party data and services

The Platform incorporates data and services from third parties, including property valuations and listings, government hazard and statistical data, geocoding, and market prices. This information is provided "as is", may not be accurate, current or complete, and we are not responsible for it. Your use of any third-party service may also be subject to that party's own terms.

10. Your content

You retain ownership of the Content you enter into the Platform. You grant us a non-exclusive licence to host, process and use your Content as needed to provide and improve the Platform and to generate your Outputs. You are responsible for ensuring you have the rights to the Content you provide and for its accuracy.

11. Intellectual property

All intellectual property rights in the Platform, including its software, design, branding and content (other than your Content), remain owned by Search Property Pty Ltd or its licensors. Nothing in these terms grants you any right to our trade marks or branding without our prior written consent.

12. Service availability and changes

We aim to keep the Platform available but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue features at any time. We are not liable for any unavailability, delay or data loss arising from maintenance, outages or factors outside our reasonable control.

13. Suspension and termination

You may stop using the Platform and request deletion of your account at any time. We may suspend or terminate your access if you breach these terms, if we reasonably suspect misuse or fraud, or if required by law or to protect the Platform or other users. On termination, your licence ends, though provisions that by their nature should survive (such as those on liability, indemnity and intellectual property) will continue.

14. Disclaimers and warranties

To the maximum extent permitted by law, the Platform and all Outputs are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of accuracy, fitness for a particular purpose or merchantability.

Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or other laws that cannot lawfully be excluded. Where we are permitted to limit our liability for a breach of such a guarantee, our liability is limited to resupplying the relevant service or paying the cost of having it resupplied.

15. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, or for any loss of profits, savings, data, or business or investment opportunity, arising from your use of (or inability to use) the Platform or any reliance on its Outputs. To the extent we are liable, our total liability is limited to the amount you paid us (if any) for access to the Platform in the 12 months before the event giving rise to the liability.

16. Indemnity

You agree to indemnify us against claims, losses and costs (including reasonable legal costs) arising from your breach of these terms, your misuse of the Platform, your Content, or your infringement of any law or third-party right, except to the extent caused by our own breach or negligence.

17. Privacy

Our handling of your personal information is described in our Privacy Policy, which forms part of these terms.

18. Marketing communications and partner referrals

By joining the waitlist, registering for early access, creating an account, or otherwise giving us your contact details, you agree that we may contact you by email, SMS, phone and in-app messages for marketing purposes, about WealthStacker, Search Property and our partners. You can opt out at any time by emailing [email protected] and asking us to stop. We will still send essential service messages such as verification, login and security notices.

You also agree that we may disclose your contact and interest details to our named partners, so that they may contact you about their services:

• Refyne Loans, our accredited mortgage broking partner, about home loan and finance options.
• Rentnest Pty Ltd (ABN 36 692 286 721), our property management partner, about managing your investment properties.

What we disclose, and how to opt out of that contact, is set out in section 9 of our Privacy Policy.

Refyne Loans and Rentnest are separate businesses and are not our agents. Any credit assistance, loan recommendation, application or service is provided by Refyne Loans under its own Australian Credit Licence or credit representative authorisation. Any property management service, including any residential tenancy agreement, agency agreement, rent collection or maintenance work, is provided by Rentnest under its own licence and its own terms. Each is subject to its own privacy policy. We do not provide credit assistance or property management services, you are under no obligation to use either partner, and you are free to use any broker, lender or property manager you choose. To the maximum extent permitted by law, we are not liable for the products, advice, conduct or communications of Refyne Loans, Rentnest or any other partner.

We may receive a referral fee or other commercial benefit from partners, including Refyne Loans and Rentnest, in connection with a referral. Nothing in these terms creates any obligation for you to accept a partner's services.

19. Changes to these terms

We may update these terms from time to time. We will post the updated version here and change the "Last updated" date above. Your continued use of the Platform after a change means you accept the updated terms.

20. Governing law

These terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
